Systems Developer 

(2 Positions)

The Role: 
Reporting to the Head of Business Systems, the successful candidate will be responsible for designing, developing, operationalizing and implementing computer softwares that are robust, reliable and secure in order to meet the organizational requirements in KTDA.

Key Responsibilities
·                     Designing, developing and implementing software for KTDA business, factories and subsidiaries.
·                     Providing programming for some in-house IT projects and custom developments.
·                     Providing technical expertise and recommendations in assessing new IT software projects and initiatives to support and enhance existing systems.
·                     Planning and delivering software platforms used across multiple products and organizational units.
·                     Assisting in the creation of the system design and functional specifications for all new development projects, writing technical procedures and documentation for the applications including operations, user guide, etc.
·                     Producing technical documentation for new and existing applications.
·                     Participating on IT project steering committees and be involved in the design phase of any new IT software development projects.
·                     Identifying opportunities that can improve efficiency of business processes.
·                     Investigating and resolving application functionality related issues, and troubleshoot application issues on existing systems.
·                     Troubleshooting technical issues and identifying modifications needed in existing applications to meet changing user requirements.
·                     Analyzing data contained in the corporate database and identify data integrity issues with existing and proposed systems and implement solutions.
·                     Providing assistance and advising business users in the effective use of applications and information technology.
·                     Ensuring adequate training for users and support personnel for systems.
Qualifications / Skills / Experience

The ideal candidate must possess the following qualifications and competencies: -
·                     Bachelor of Science Computer science, IT, or related fields;
·                     A minimum of five (5) year’s experience with at least 4 years’ hands-on technical roles in the field and relies on experience and judgment to plan and accomplish goals.
·                     Certification in software development e.g. MCSD is an added advantage
·                     Experience with S.A.P ABAP and/or Java Webdynpro is an added advantage.
·                     Extensive knowledge of data processing, hardware platforms, and enterprise software applications.
·                     Technical experience with Systems Networking, Databases, Web development, and user support.
·                     Good background in Database Design and Development
·                     Strong programming skills in one or more of Delphi Pascal, C#, JAVA, PHP/ASP.NET, HTML/CSS/JAVASCRIPT.

Senior Legal Officer

1 Position

Position Scope:
 Reporting to the Head of Legal and Regulatory Affairs, theckground-image: initial; background-origin: initial; background-position: initial; background-repeat: initial; background-size: initial; margin-left: 0cm; text-indent: 0cm;"> ·                     Reviewing progress of outstanding litigation and liaising with and managing external lawyers;
·                     Formulating compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly;
·                     Maintaining records of contracts, leases, loan agreements and the covenants therein;
·                     Providing timely information on renewals or termination of agreements;
·                     Drawing up contracts, lease documents, loan agreements and other legal documents;
·                     Liaising with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken;
·                     Providing legal protection and risk management and advising management on contract processes;
·                     Providing and interpreting legal information, conducting training and disseminating appropriate legal requirements to staff ;

·                     Ensuring the follow up of all court cases facing the Group Holdings and attend court hearings where necessary, follow up of Judgements and costs on behalf of the KTDA Group.

Qualifications / Skills / Experience

The ideal candidate must possess the following qualifications and competencies: -
·                     A Bachelor of Laws degree from a recognized institution;
·                     An advocate of the High Court – Five years (5) post admission
·                     A minimum of five (5) years relevant experience;
·                     Member of Law Society of Kenya with a current practicing certificate
·                     A Postgraduate Diploma in Legal Studies from the Kenya School of Law;
·                     A Certified Public Secretary & Member of ICPSK in good standing – will be an added advantage;
·                     Should have thorough knowledge of the relevant industry/sector as well as knowledge of regulatory requirements affecting the relevant sector;

Head of Secretarial and Governance 


One (1) Position

Position Scope: 
Reporting to the Group Company Secretary, the successful candidate will be responsible for managing the Secretarial services function and ensuring compliance with statutory requirements (in relation to Company Law matters) by KTDA [H], its subsidiaries and the managed factory Companies.

Key Responsibilities
·                     Ensuring the research and review of Good Corporate Governance policies and best practices for the Group;
·                     Liaising with other departments for the effective provision of secretarial services by the division;
·                     Supervising co-ordination and preparation of KTDA Managed Factories and Company meetings;
·                     Taking minutes for KTDA Holdings, subsidiary and committee meetings;
·                     Supervising set up and maintain the shareholders register of the KTDA Group and associated companies;
·                     Supervising allotment and allocation of shares for all KTDA Group and associated companies including managing the share allotment control systems and procedures;
·                     Supervising the preparation and issuance of share certificates;
·                     Coordinating the processing and effecting of dividend payment to shareholders;
·                     Overseeing the verification of statutory returns with the Registrar of companies;
·                     Overseeing the electoral process for Directors of the factory companies and KTDA associated companies;
·                     Supervising the updating of the Memorandums and articles and maintenance of Company the Minute Books of the respective companies;
·                     Attending and resolve Shareholder queries and issues;
·                     Supervising the filing of statutory returns and notifications to the Registrar of Companies;

BAT :: Legal & External Affairs Paralegal

Legal & External Affairs Paralegal
The position is to play a primary role in the establishment and ongoing management of Records across the ECAA business, including developing policies, ensuring appropriate procedures of retention, indexing and destruction are in place and providing training to all levels of the business.
The role will also be active in implementing the broader compliance program across the business, managing the local provident fund requirements and board, and providing extensive support to company secretarial and corporate governance.

Responsibilities

·         Create, Set-up and Manage RM (Records Management) storage facilities in ECCA sites and ensure Records
·         Management Storage Databases in the depositories are in line with the BAT storage policy standards
·         Apply all retention schedules to all records and manage destruction process in accordance with Hold Order requirements
·         Develop appropriate local RM policies and procedures in line with Global company standards and legal requirements.
·         Interpret and explain existing RM policy and ensure compliance with applicable local legislation and regulations as they relate to RM .
·         Assist the Legal Counsels in implementing the RMP. Ensure training and advice is provided to existing ECA employees at all levels within the organisation with regards to RMP and introduce RM Induction programme to new recruits
·         Ensure the Critical Records Schedule is always up-to-date
·         Develop new material to promote a better understanding of the RMP for all staff within ECA ensuring that the
·         Control List and RM procedures are up to date and communicated.
·         Provide robust support in Company secretarial matters, to all BAT Group area entities
·         Management/Organization of board meetings inclusive of the annual general meetings.
·         Collation & preparation of board papers ensuring timely circulation to all directors prior to board meetings.
·         Ensure statutory deadlines are met on filing of annual returns, dispatch of annual financial statements to shareholders and regulatory bodies entitled to receive it.
·         Management of shareholder matters and complaints in liaison with the Company’s Share Registrar.

Qualifications
·         University degree from a recognised University
·         At least 3 years’ experience working as an Executive Assistant, Paralegal or other senior support function role in a law firm or a legal function in a multinational organisation or other large consultancy firm.
·         Diplomatic and tactful in dealing with team members and external stakeholders
·         Ability to communicate effectively and persuasively at all levels within the organisation
·         High level of literacy, computer literacy and attention to detail
·         Project Management skills
·         Knowledge of French is an added advantage
·         A degree or post graduate diploma in Law is desirable.

Finance (Accounts Payable) Internships
To execute the delivery of specific elements of accounts payable tasks ensuring a high level of accuracy and timeliness.
The job holder will need to ensure process compliance so that source system data is complete and accurate as well as adhering to policies, procedures and accounting standards.

Responsibilities 

·         Ensure invoices are properly coded and fulfill the legal fiscal and regulatory requirements of an invoice.
·         Scan the invoices in  the Optical Character Reader (OCR) system accurately and in time to avoid any delays in supplier payments.
·         Follow up with suppliers for month end statements and undertake supplier reconciliations.
·         Ensure that all manual finance documents are stored in line with records management policies and retrieve these in a timely manner when requested by approvers, internal and external auditors.
·         Address and meet supplier information requests in a timely and accurate manner
·         Build effective relationships with the remote shared service teams to ensure that scanned invoices are posted correctly within agreed timelines .
·         Coordinate with both remote shared service teams to update the master data entries for vendors as and when the need arises
·         Prepare withholding tax and withholding VAT entries.

Terms of Service and Remuneration

Job Purpose / Summary: The Head of Legal will be responsible for the effective and efficient management of the Legal department, provision of legal advisory services and ensuring effective management of legal and contractual risks.
 
Duties and Responsibilities
  • Provide leadership and ensure efficient and effective management of staff and resources in the Legal department.
  • Review and provide legal advice on tender documents.
  • Review ongoing cases and advice management accordingly. Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
  • Provide legal protection and risk management advice to management especially on contract management.
  • Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.

  • Continuously monitor compliance with statutory obligations and advise management accordingly. 
  • Prepare monthly and quarterly reports for the department for executive management meetings.

  • Prepare, review and modify contractual instruments to assist and support various business activities.
  • Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.
  • Provide continuous leadership, supervision, training and development of department staff ensuring an effective and motivated team.
Minimum Requirements
  • LLB undergraduate degree.
  • A Master’s degree will be an added advantage.
  • Must be an Advocate of the High Court of Kenya.
  • At least eight years legal experience ideally in a leading organization, with a proven track record in contract negotiation and drafting.
  • Proven track record of providing accurate and effective legal counsel.
  • Proven track record of adding value to an organization through the development of comprehensive contract documents that mitigate risk and penalties.
  • Excellent relationship management and communication skills necessary for interaction with the Government of Kenya, the Judicial system and negotiating parties.
  • Demonstrate knowledge of, and experience with, laws dealing with government and/or commercial contract administration, particularly contract negotiation, preparation and administration.
Personal Attributes
  • Ability to provide independent advice (orally and in writing) to senior level management on highly technical matters.
